THIS AGREEMENT IS MADE ON BETWEEN:

(1)     HumanSigma Inc

(2)     You the (‘the Customer’).

 

PURPOSE OF THIS AGREEMENT

In accepting and registering the services the Customer agrees to be bound by the terms and conditions. This is applicable for using the website for all commercial transaction usage

NOW IT IS AGREED as follows:

  1. DEFINITIONS

In this Agreement the following terms shall have the following meanings:

‘Authorized Users’ are employees and or members of the Customer(s) accessing the Webinar Event and Webinar Materials authorized by HumanSigma Inc who have paid a Fee

‘Commencement Date’ means the date that the fee is paid.

‘Fee’ means the fees charged by HumanSigma Inc in relation to the provision of the Webinar Event and Webinar Materials and any other program or sale of any other product

‘Services’ means jointly the Webinar Event and sale of any other product provided to the Authorized paid User

‘Webinar Events’ means subject streams of 1 hour online seminars to commence on the Commencement Date.

  1.    COMMENCEMENT

 

2.1 This Agreement starts on the Commencement Date and shall remain in force for the Subscription Period (subject to the terms of this Agreement).

2.2 In the event that no Notice of cancellation/Termination has been received by HumanSigma Inc prior to 1days before program, this Agreement shall continue

 

  1.    FEES

The Customer shall pay to HumanSigma Inc the agreed Fee per Webinar Event per Authorized User.  No cancellations fees. All Webinars is non-refundable.

  1.    LICENCE

4.1   This licence is subject to the following limitations:

(a)     The right to electronically display Webinar and any other Materials at the HumanSigma Inc website.

4.2 Authorised User is otherwise prohibited from downloading, storing, reproducing, transmitting, displaying, printing, copying, distributing, or using the Webinar Materials or any other material in website.  

 4.3 Except as specifically provided herein, the Customer and or the Authorized User may not use the Services in any fashion that infringes the copyright or proprietary interests therein of HumanSigma Inc.

4.4 The Customer and or Authorised User may not remove or obscure the copyright notice or other notices contained in the website.

 

  1.    ACCESS TO SERVICES

5.1  Only Customer’s Authorized Users authorized by both HumanSigma Inc and the Customer shall be entitled to access and use the Services.

5.2  Content and features may be added to or withdrawn from the Services and the Services otherwise changed without notice.

5.3  HUmanSigma Inc will periodically ensure that each person having access to the Services and Webinar Materials: (a) is an Authorized User; and (b) is using those Services only in accordance with this Agreement and the Additional Terms.

5.4 It is an express term of this Agreement that the Customer advises HumanSigma Inc how many Authorized Users shall be accessing the Webinar Event.  The Fee shall be based on the number of Authorized Users.  In the event that the number changes the Customer shall immediately notify the HumanSigma Inc of the same and pay the Supplier the additional amount due.  In the event that the Customer fails to notify HumanSigma Inc of the correct number of Authorized Users HumanSigma Inc shall be entitled to treat such failure as a material breach of contract and terminate this Agreement immediately and pursue the Customer for all the HumanSigma Inc direct and consequential losses arising from the Customer’s breach of contract including the Supplier’s legal fees. 

5.5 HumanSigma Inc will provide the Customer a username and password to access the Webinar Event as confirmation of the Customer’s order.  If the Customer has ordered a Webinar Event for multiple users, it is the Customer’s responsibility to distribute the usernames and passwords to the additional Authorized Users within its organization.

5.6 All reasonable efforts will be made to ensure that the Webinar Event take place on the advertised date and time. In the event that the Webinar Event does not take place, an alternative date/time will be scheduled.  HumanSigma Inc reserves the right to substitute speakers and or where events beyond its reasonable control prevent speakers from appearing.  The Customer accepts that there will be no right to any refund or cancellation in these circumstances.

5.7   The Customer may substitute an Authorized User to view the Webinar Event at any time and at no extra cost, on the condition that:  The Customer does so in writing to humansigma Inc .

 

  1.    TERMINATION BY HumanSigma Inc

HumanSigma Inc may by written or non written notice terminate this Agreement or suspend its performance of all or any of its obligations under it immediately and without liability for compensation or damages.

  1.    CANCELLATION BY THE CUSTOMER

Customers who have purchased a Webinars Events may cancel their booking; no refund for the original price paid will be paid

 

  1.    LIMITED WARRANTY

8.1 HumanSigma Inc represents and warrants that it has the right and authority to make the Services available pursuant to this Agreement. This is subject to technology and no unforeseen technical issues. HumanSigma Inc is NOT responsible to any sort of technical glitches.

8.2  EXCEPT AS OTHERWISE PROVIDED IN SECTION 8.1, THE SERVICES ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE” BASIS AND THE HumanSigma Inc  MAKES NO EXPRESS WARRANTIES UNDER THIS AGREEMENT, INCLUDING WITHOUT LIMITATION THAT THE SERVICES ARE OR WILL BE COMPLETE OR FREE FROM ERRORS.

  1. LIMITATION OF LIABILITY

9.1 To the maximum extent permitted by law, HumanSigma Inc shall not be liable for any loss, injury, claim, liability, or damage of any kind resulting in any way from  

(a) any errors in or omissions from the Services or any Webinar Materials available or not included therein,

(b) the unavailability or interruption to the supply of the Services or any features thereof or any Webinar event

(c) Customer’s use or misuse of the Services or Materials (regardless of whether the Customer received any assistance from HumanSigma Inc in using or misusing the Services),  

(d) any delay or failure in performance beyond the reasonable control.

 

9.2 Nothing in this Agreement is intended to include liability for death or personal injury resulting from any negligence by HumanSigma Inc.

 

9.3  HumanSigma Inc SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LEGAL FEES) IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE SERVICES, TECHNOLOGY DEFECTS,NON FUNCTION OF TECHNOLOGY,STOPAGE OF WEBSITE,WEBINAR MATERIALS, OR THE FAILURE OF HumanSigma Inc TO PERFORM ITS OBLIGATIONS, REGARDLESS OF ANY NEGLIGENCE

9.4 The Services are provided for reference purposes only and are not intended, nor should they be used, as a substitute for professional advice or judgment or to provide legal advice with respect to particular circumstances.

9.5 Whilst reasonable efforts are made to keep the Services up to date, the Customer should obtain independent verification or advice before relying upon any piece of information in circumstances where loss or damage may result.

9.6 Any password / ID number issued by HumanSigma Inc to an Authorized User is personal and confidential to that Authorized User.  If the HumanSigma Inc suspects that any password / ID is being used by an Unauthorized User or a different Authorized User to the person to whom it was issued, that Password / ID may be cancelled.

  1. MISCELLANEOUS

10.1 No waiver.  

10.2 Entire understanding.  This Agreement embodies the entire understanding of the parties in respect of the matters contained or referred to in it and there are no promises, terms, conditions or obligations oral or written, express or implied other than those contained in this Agreement.

10.3  Variation.  No variation or amendment of this Agreement or oral promise or commitment related to it shall be valid unless committed to writing and signed by or on behalf of both parties.

10.4  Prior agreements.  This Agreement is in substitution of all previous contracts, express or implied, between the Supplier and the Customer which shall be terminated by mutual consent from the Commencement Date.

10.5  Law and jurisdiction.  This Agreement shall be governed by Indian law and the Customer consents to the exclusive jurisdiction of the Indian courts in all matters regarding it except to the extent that HumanSigma Inc  invokes the jurisdiction of the courts of any other country.

DISCLAIMER

The Webinar Terms and Conditions, your agreement for access to HumanSigma Inc services and the points below (together the “Terms”) apply to the Networking.

You accept that HumanSigma Inc do not owe you any duty of care.

HumanSigma Inc is under no obligation to respond to your question or to respond within any particular timeframe.  HumanSigma Inc discretion may publish your question (in an anonymised form) and our response as a Q&A document for other users to view, either in its original form or in a form edited by us. HumanSigma Inc may remove any Q&A document at any time for any reason.

It is all responsibility to ensure that all do not include confidential, personal or other proprietary information in any submissions.

HumanSigma Inc reserves the right to make amendments to the programme or any related activities at its discretion. HumanSigma Inc reserves the right to modify or complete at any time.

Technical requirements webinars

 When taking part in a live webinar, each participant must meet the minimum requirements (internet connection, current browser version, download a program from the webinar platform if necessary, speakers or headset) and test these before the webinar.

 Failure to meet the technical requirements for which the Participant is responsible does not release the Participant from the contractual obligation to pay. In so far as a Participant does not report any technical problems during a webinar and no such notifications are evident from the recording either, participation shall be considered to have taken place. No amount will be refunded at any time. HumanSigma Inc has the fundamental right to cancel an event due to technical requirements.

Copyright

The content of all events and all materials (webinar documents, recordings that are made available, etc.) are the intellectual property of HumanSigma Inc Webinars or the respective instructor and are protected by copyright.

In particular, publication even if only in part, reproduction, distribution and editing are prohibited as is the recording of an event in audio or video or by means of screenshots. Legal proceedings may be initiated in the event of any misuse.

Privacy policy

When you register for a webinar, HumanSigma Inc will need to collect personal information such as billing information.

We will use your information for a lot of purposes, including:

  • to provide or manage any information and services for which you have requested,
  • to help us identify you when you contact us,
  • for general administration purposes,
  • to help us improve the quality of our products and services,
  • to help us promote the mobility
  • to carry out analysis and customer profiling,
  • to identify other products and services which might be of interest to you and to inform you about our products and services.

 

Amendment of the Terms and conditions

HumanSigma Inc reserves the right to amend these Terms without notice from time to time. Any such amendment shall be effective once the revised terms have been posted on the Site.

 

INDEMNIFICATION.

User  agree to indemnify, defend and hold harmless HumanSigma Inc, its affiliates, officers, directors, employees, consultants, agents, suppliers and Resellers from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys’ fees) arising from Your use of the Services,

User  violation of this Agreement or the infringement or violation by user or any other user of customer account, of any intellectual property or other right of any person or entity or applicable law.

 

PROPRIETARY RIGHTS.

HumanSigma Inc and/or its suppliers, as applicable, retain ownership of all proprietary rights in the Services and in all trade names, trademarks, service marks, logos, and domain names associated or displayed with the Services.

You may not frame or utilize framing techniques to enclose any HumanSigma Inc, or other proprietary information (including images, text, page layout, or form) of HumanSigma Inc without express written consent. You may not use any meta tags or any other “hidden text” utilizing HUmanSigma Inc without Humansigma Inc express written consent.

 

Recordings. 

Customer is NOT allowed to record any webinars and meetings.

 

Right of Refusal

HumanSigma Inc reserve the right to refuse service or products to any person or organization.

 

Security

Tampering with HumanSigma Inc Website, misrepresenting the identity of a user, using buying agents or conducting fraudulent activities on our Website are prohibited. Users are prohibited from violating or attempting to violate the security of our Website, including, without limitation, (a) accessing data not intended for such user or logging onto a server or an account which the user is not authorized to access; (b) using our Website for unintended purposes or trying to change the behavior of our Website; (c) attempting to probe, scan or test the vulnerability of a system or network or breach security or authentication measures without proper authorization; (d) attempting to interfere with service to any user, host or network, including without limitation via means of submitting a virus to our Website, overloading, “flooding,” “spamming,” “mailbombing” or “crashing”; (f) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.
